Doritos® Build Bold Contest (“Contest”)
OFFICIAL RULES
THIS CONTEST IS INTENDED FOR PARTICIPTION IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER UNLESS YOU ARE ELIGIBLE AND LOCATED IN THE UNITED STATES OR THE DISTRICT OF COLUMBIA AT THE TIME OF PARTICIPATION.
NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO PARTICIPATE OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. INTERNET ACCESS REQUIRED.
BY SUBMITTING TO THIS CONTEST, YOU AGREE TO THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR AND JUDGES, WHICH SHALL BE FINAL AND BINDING IN ALL RESPECTS. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.
TIMING
You may enter the Contest between 12:00 p.m. Central Time (“CT”) on May 20, 2026 and 11:59 p.m. CT on July 31, 2026 (the “Contest Period”). By participating, entrants (“Entrants”) agree to be bound by these Official Rules and the decisions of the Sponsor, which are binding and final on matters relating to this Contest. The website server is the official clock for this Contest.
ELIGIBILITY
The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia, who are eighteen (18) years of age (19 in AL and NE) or older as of date of entry with a valid U.S. driver’s license or government-issued photo ID at the time of entry (each, an “Entrant”). The following persons are not eligible to enter or win a Prize (defined below): employees, officers and directors of Frito-Lay, Inc. (“Sponsor”), The Marketing Arm, Southern Made Services LLC, and their respective parents, subsidiaries and affiliates and if applicable, their advertising or Contest agencies, program Prize suppliers, any other companies engaged in the development, production, or distribution of materials for the Contest (collectively, the “Contest Parties”), and members of their immediate families (spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and their respective spouses and/or “step” of each) and those living in the same household as such individuals (whether legally related or not who live in the same residence for at least three [3] months during the twelve-month period preceding the start date of the Contest). By participating, you agree to these Official Rules and to the decisions of the Sponsor and Contest Parties, which are final and binding in all respects. Void where prohibited by law. All federal, state, and local laws and regulations apply. By participating in the Contest, you unconditionally accept and agree to comply with and abide by these “Official Rules” and the decisions of Sponsor, including the interpretation of these Official Rules, administration of the Contest, selection of the Winner (defined below), and Sponsor’s exercise of discretion, which will be final, non-appealable, and binding in all respects.
HOW TO PARTICIPATE
To enter the Contest, go to DoritosBuildBold.com (“Website”) during the Contest Period. Submit your video (“Video”) and optional photo (“Photo”) of your build of a National Monument, National Park, Historical Building, or Iconic Structure (“Participating Location”), include the name of the Participating Location, follow the on-screen instructions to properly complete the registration form, and submit your Submission for the Contest (each a “Submission”).
Creative Assignment
The creative assignment for the Contest (“Creative Assignment”) is as follows:
Entrant to use the digital blueprint and Doritos chips to create an original creation of a Participating Location built to scale, with a high level of detail, minimal build materials, and with a BOLD twist. During the entry process, Submission will be required to include the following:
- Submission includes a Video and optional Photo of completed creation and show a clear and complete 360° view of the build
- Submission must only feature Doritos brand Tortilla Chips – preference is for Doritos Nacho Cheese and/or Doritos Cool Ranch, (others Doritos branded items will be acceptable)
- Submission includes Entrant’s name and Participating Location they built in the voiceover (“VO”) in the Video
- VO in Video Submission includes more on how Entrant made the Participating Location and why
- VO in Video Submission includes Doritos brand name
- Entrant’s contact information, which may include first and last name, email address, birthdate, mailing address (no P.O. boxes), state of residence, and phone number.

All Submissions must be received and recorded within the Contest Period. The Website is the official timekeeping device for this Contest. Submissions limited to up to three (3) different Submissions per person, per email, per Contest Period, as long as each Submission is Unique (defined below). If Sponsor or Contest Parties determines, in its sole discretion, that an Entrant has submitted two (2) or more Submissions that are not Unique (defined below) from each other, the Entrant and/or the duplicative Submissions may be disqualified.
Sponsor may, in its sole discretion, remove, delete and/or disqualify any Submission and/or Entrant it deems inappropriate or otherwise non-compliant.
From time to time during the Contest, Sponsor may feature Submissions on the Website and/or in Sponsor’s social media pages and channels, in Sponsor’s sole discretion. Being selected as a featured Submission is unrelated to the Judging Criteria and does not guarantee selection as a Potential Winner (defined below) in the Contest nor does it entitle the featured Entrants to any compensation or Prize.
SUBMISSION REQUIREMENTS
Video:
- Must be at least 30 seconds long.
- Must be submitted in MOV, MP4, WebM
Photo:
- Must be submitted in JPEG, PNG, WebP, HEIC
Comply with all Contest requirements.
GUIDELINES & RESTRICTIONS
All Submissions must be received and recorded during the Contest Period.
The person uploading the Submission will be deemed the Entrant. The Entrant is the one (1) person who is the authorized account holder of the email address used to enter the Contest. Should multiple users of the same email account enter the Contest and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said e-mail account at the time of entry will be considered the Entrant. “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. If any group elects to collaborate on a Submission, they are required to designate one (1) person as the agent of the group to enter the Contest, agree to these rules and accept the Prize on behalf of the group. If selected as a Potential Winner, the person designated as the Entrant will be deemed to be the Potential Winner and awarded the applicable Prize. Any Prize distribution among a group will not involve Sponsor.
Entrant may upload up to three (3) Submissions per Contest Period, as long as each Submission is unique and not entered more than once. “Unique” Submission shall be defined as a Submission by an Entrant that is distinguishable from other of Entrant’s Submissions (not the same or substantially similar Submission, including Participating Location).
Each Submission:
- must be Entrant’s own creation for this Contest and is one hundred percent (100%) original. Entrant may not use any Generative Artificial Intelligence (i.e. ChatGPT or other program) to prepare Submission;
- must not contract with, or pay for, any outside consulting firm, agency, or other service for any assistance or guidance in the creation of the Submission;
- must not have been entered in or won previous contests or awards or been archived;
- must be in English;
- must not use foul language, sexual innuendos, or drug-like references;
- must not wear any clothing that features third-party branding (e.g. musicians/brands/competitor brands/luxury branding, etc.);
- must not mention any competitive brands, snack brands or beverage/soda brands (no snack/beverage brands other than Frito-Lay® and PepsiCo products should be visible);
- must not make any brand comparisons other than what is specified under the parameters above;
- must not show other branding, logos, or branded jewelry (i.e. Apple Watches, Nike, band logos, sports team logos, etc.), including branding on kitchen products (i.e. Kitchen aid, Le Creuset, etc.);
- must not display revealing/suggestive clothing;
- must not engage in inappropriate behavior;
- must not eat in bed, the bath, or a pool;
- must not reference or show feeding animals/pets;
- must not have any spelling or grammar errors in the caption;
- must not use personal watermarks or personal overlays on your content;
- must not use stock photography;
- must be filmed and created by the Entrant;
- must not promote any kind of product overconsumption. Overconsumption is encouraging/eating more than one serving size per person (e.g. shoving several chips in your mouth, showing several empty chip bags, mentioning eating large amounts of chips, etc.). A creative showing an individual eating out of a bag should depict a single serve bag. A depiction of several bags is approved, if the bags are sealed. Pouring product into and eating from a single serve bowl is preferred;
- must not include any alcoholic or controversial substances;
- must not indicate that Frito-Lay® products can or should replace a meal (e.g. “All I needed to eat for lunch was Doritos®.”)
- must not use words like “craving,” “addiction,” “irresistible,” “indulge,” “feast,” “chug,” “cram,” “devour,” “satisfying,” etc. to describe your love of our product;
- must use “fresh” or “light” to describe the product; however, the words may be used as adjectives such as “light texture”;
- must not use “healthy,” “health conscious,” “nutritious,” or any derivatives;
- must not show or use any hearts or singular heart emojis.
- must not include anyone else (e.g. friend, family member, partner, roommate, etc.) in your Submission;
- must not include children in Entrant’s Submission;
- must not show tattoos (or ensure tattoos are covered in your content). Tattoos are the art of the tattoo artist and would require written permission from the artist to be displayed as an advertisement in this context;
- must not use music or popular TikTok sounds unless fully and properly licensed from rights owner for commercial usage (businesses with 500+ employees) or ask the team about music options;
- must not incorporate any appropriation of cultural elements, sacred religious symbols, or ethnic garb;
- must not mention polarizing topics (e.g. politics, religion, global crises, etc.);
- must not copy and paste wording from the brief – please explain the messaging in your own words;
- must not defame, misrepresent or contain disparaging remarks about Sponsor or any of its products, or other people, products or companies or communicate messages inconsistent with the positive images and/or goodwill to which Sponsor associates in Sponsor’s sole discretion;
- must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, including copyright infringement (which includes the use of copyrighted artwork) or trademark infringement (which includes the unauthorized use of trademarks or logos) when used as provided for in these Official Rules;
- must not contain words that are widely considered offensive to or hateful towards individuals of a certain race, ethnicity, religion, gender, sexual orientation or socioeconomic group;
- must not include threats to any person, place, business or group;
- must not contain any references to controlled substances (including lawful marijuana use) or other unlawful activities;
- must not encourage dangerous or illegal activities;
- must not invade the privacy or other rights of any person, firm or entity;
- must not contain any third person’s personal information, such as personal names or e-mail addresses without their express permission;
- must not communicate messages inconsistent with Sponsor reputation, image and/or goodwill;
- must not feature recognizable buildings and other architectural works or recognizable artwork, other than those specified in the approved list
- must not include minors under the age of 7, minors between the ages of 8 and 13 can only be shown on camera with a parent or adult-figure;
- must not use crude or course language, gestures or symbols may not be used in advertising, nor can they be bleeped, blurred, pixilated or otherwise censored;
- must not use contraceptives, feminine hygiene products, fireworks, firearms and ammunitions, prescription drugs, illegal drugs and related drug paraphernalia, nutritional supplements, lotteries and gambling (including horse or dog racing and products or services related to gambling);
- must not disparage the Contest Parties, or any other person or party affiliated with the Contest and administration of this Contest;
- must not make false statements about Sponsor’s products or those of its competitors;
- must be suitable for family audiences and for display and publication, in the sole determination of Sponsor. Without limitation, Submissions shall not contain any content that is or contains: unlawful behavior, profanity, explicit sexuality, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or is hatefully, racially, ethnically or otherwise offensive or objectionable;
All Submissions will undergo preliminary screening for compliance with these Official Rules before being judged; however, such review does not relieve Entrant from responsibility for compliance with these Official Rules. Submissions that do not comply in all material respects with these Official Rules or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be considered for Prize. Sponsor makes the final determination as to which Submissions are eligible to take part in this Contest and be considered for a Prize.
By entering this Contest and uploading your Submission, you irrevocably grant to Sponsor and their agents, to the extent permissible by law, the unconditional and perpetual right to post, display, broadcast, publish, use, adapt, edit, translate, dub, and/or modify such Submission in any way, in any and all media, throughout the world, for any purpose, without limitation, and without notice or consideration to you. Potential Winner agrees upon verification of eligibility of Potential Winner status to execute a release irrevocably waiving all moral rights in Submission for use in relation to the Contest and/or allow Sponsor to modify the Submission as described in these Official Rules and in Contest (including but not limited to print, digital, social, or other medias) of Sponsor. If a Potential Winner does not execute the release, its Submission is no longer eligible, and Sponsor may select another Submission to be a Potential Winner. Such alternate Potential Winner Submission selection is in Sponsor’s sole discretion and may or may not include similar ideas and/or concepts to the disqualified Entrant’s Submission. Entrant also consents to the Sponsor or their agents doing (or omitting to do) any acts in respect of the Submission which may otherwise constitute an infringement of the Entrant’s moral rights. All Entrants further agree to release and indemnify and hold harmless Sponsor and the Contest Parties from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsor infringe on the rights of Entrant’s work as contained in any Submission.
Entrant acknowledges that other Entrants may have used the same Participating Locations, and/or concepts in their Submission that may be similar in idea or concept to what is included in Entrant’s Submission. Entrant understands and agrees that he/she shall not have any claim against any other Entrant or Sponsor arising out any such similarity or be entitled to any compensation because of any such similarity.
Data rates may apply if entering with a mobile phone or other Web-enabled device using your wireless service provider’s network. Check with your wireless service provider for details on these and any other applicable charges. Entrants are solely responsible for any such wireless or internet charges.
Each Submission must be manually key stroked and/or manually entered by the individual Entrant. Submissions generated by a script, computer programs, macro, programmed, robotic or other automated means are void and will be disqualified and transmissions from these or related IP addresses may be blocked. Submissions that are in excess of the stated limit, incomplete, illegible, corrupted, damaged, destroyed, forged, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules may be disqualified from the Contest at Sponsor’s sole and absolute discretion. Submissions submitted by Entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void.
JUDGING CRITERIA AND WINNER SELECTION
All eligible Submissions received during the Contest Period will be judged to determine one (1) potential winner (“Potential Winner”). Judging will be conducted by a Sponsor-selected panel of experts (the “Judges”). Judging will be based on the following criteria (each a “Judging Criteria”):
- Bold Factor (50%): visual impact and wow factor, ambition and risk-taking, creative use of chips (shape, layering, color);
- Accuracy, Detail & Build Quality (25%): resemblance to real Participating Location level of intricacy and realism, proportion and detail, structural integrity and clean execution;
- Video Execution & Documentation (25%): clear and complete view of the build, lighting, framing, and visibility of details; demonstrates the build effectively, engaging presentation of the final creation.
All eligible Submissions submitted during the Contest Period will be reviewed by Sponsor and Contest Parties. Sponsor and Contest Parties will evaluate each such eligible Submission based on the Judging Criteria set forth above, the one (1) eligible Submission with the highest total scores under the Judging Criteria will be selected as the Potential Winner. On or around August 21, 2026, the Entrant who submitted the potential winning Submissions will be notified by Sponsor and Contest Parties that their Submission has been selected as the Potential Winner and will provide to Sponsor a written assignment of all right, title, and interest in the copyright to the Entrant’s Submission (“Assignment”). Potential Winner who is compliant with these Official Rules and return to Sponsor an executed Assignment as directed by Sponsor within seventy-two (72) hours of Potential Winner’s receipt of the Assignment. In case of a tie for a Potential Winner position, tied Submissions will be broken by cumulative points awarded for Judging Criterion A. If tie continues, then tie(s) will be broken by the Submission with the highest cumulative point score for Judging Criterion B until the tie is broken. If a Potential Winner is not compliant with these Official Rules or does not execute and return the Assignment to Sponsor and Contest Parties as directed by Sponsor within seventy-two (72) hours of Potential Winner’s selection, then Potential Winner’s Submission will be deemed ineligible and Sponsor and Contest Parties may select the Submission with the next highest total score under the Judging Criterion A as a Potential Winner Submission in its place. Sponsor may ask Potential Winner to participate in interviews, videos and/or other promotional activities related to the Contest.
WINNER NOTIFICATION
Potential Winner will be notified by phone and/or email on or about the dates set forth above and will be required to complete, execute and return an Affidavit of Eligibility a Liability Release, and, where lawful, a Publicity Release (collectively, the “Releases”). An alternate Potential Winner may be selected if any required documents are not returned within the required time period or if Potential Winner otherwise does not comply with these Official Rules. Potential Winner may be required to sign one or more additional releases, in Sponsor’s discretion. To the extent permissible by law, Sponsor reserves the right to ask a Potential Winner to submit to a confidential background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Contest will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest as determined by Sponsor, in its sole discretion.
Any Prize will be forfeited, and an alternate Potential Winner may be contacted if: (1) a Prize notification is returned as undeliverable; (2) if any required response (including email response) is not received in timeline disclosed for any reason; (3) if any Prize claim forms or winner verification materials are not returned within the required time period; (4) if a Potential Winner is found to be ineligible by civil or criminal or social media information review, as determined by Sponsor in its sole discretion; or (5) if any Potential Winner is determined to be ineligible or otherwise not in compliance with these Official Rules. Sponsor, and Contest Parties are not responsible for any change of mailing address, email address, and/or telephone number of Entrants. Sponsor is not required to make more than one attempt to notify any individual Potential Winner; nor is Sponsor required to make more than one attempt to verify an alternative Potential Winner if the first selected Potential Winner is disqualified. If an insufficient number of qualified Submissions are received, Prize may not be awarded. Prize that are unclaimed, unredeemed, or returned as undeliverable will not be awarded.
Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants. By accepting a Prize, Potential Winner agrees that his/her Submission will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the Potential Winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Submission, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Potential Winner hereby waives in favor of Sponsor, all rights of “Droit Moral” or “Moral Rights of Authors” or any similar rights or principles of law that Potential Winner may now or later have to his/her Submission. Sponsor reserves the right to alter, change or modify the winning Submission, in whole or in part, in its sole discretion. Upon request of Sponsor, Potential Winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the Submission and of the copyrights transferred and “Moral Rights of Authors” waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment.
Taxes:
Winner is solely responsible for any applicable federal, state, and local taxes on the Prize and will be issued an IRS Form 1099 in January of 2027 reporting the value of any Prize valued $2,000 or over. Winner is responsible for paying taxes on the full ARV of the Prize awarded to them.
PRIZE (the “Prize”) AND ACTUAL VALUE (“ARV”)
One (1) winner (“Winner”) will receive two hundred fifty thousand dollars ($250,000). Prize will be awarded in the form of a check or wire transfer, payable to Winner. Total ARV of Prize: $250,000.
Prize Payout Terms:
Winner will receive Two Hundred and Fifty Thousand Dollars ($250,000) in the form of a check or wire transfer payable to the Winner within 10–12 weeks of winner verification.
Winner must accept Prize as stated by Sponsor or Prize will be forfeited and awarded to an alternate Winner. Any difference between stated value and actual value will not be awarded.
ODDS OF WINNING DEPEND ON THE DECISION OF THE SPONSOR JUDGING SUBMISSIONS.
GENERAL CONDITIONS
Subject to applicable law, each Winner hereby expressly grants to the Contest Parties and their respective successors, assigns, sublicensees and designees, the irrevocable right to use and publish his/her name, voice, biography and place of residence for all purposes, including, without limitation, advertising, marketing, promotional and publicity purposes in connection with this Contest (“Advertising”), in any and all media now or hereafter devised, worldwide, in perpetuity, without any form of notice, permission or any amount or kind of compensation, except for the awarding of the Prize to the Winner. All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and each Winner hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and each Winner hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of Winner’s name, likeness or voice under contract, tort or any other theory of law. The Contest Parties do not assume any responsibility for any disruption in the Contest, including, but not limited to, the failure or interruption of any social media platform or any internet service provider. In the event there is a discrepancy or inconsistency between disclosures and other statements contained in any Contest materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. In the event Sponsor is prevented from continuing with the Contest by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Contest by any party, or any federal, state, or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Contest or Prize. Sponsor additionally reserves the right, in its sole and absolute discretion to modify, suspend or terminate the Contest should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Contest.
CONDUCT
The Contest Parties are not responsible for the actions of Entrants in connection with the Contest, including Entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. The Contest Parties reserve the right, at their sole discretion, to disqualify (or terminate the Prize of) any individual who is found to be, or suspected of, acting in any manner deemed by the Contest Parties to be in violation of the Official Rules, or to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person, or to be tampering with the entry process or the operation of the Contest, and void all associated Submissions, and/or registrations. CAUTION: ANY ATTEMPT BY A USER, YOU OR ANY OTHER INDIVIDUAL TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE CONTEST PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

The Contest Parties assume no responsibility or liability for: (a) lost, late, stolen, undelivered, inaccurate, incomplete, delayed, misdirected, damaged or garbled registrations, Submissions, URLs, or emails; (b) any incorrect or inaccurate registration information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of Submissions, or registrations at any point in the operation of this Contest; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, cable, satellites, servers, computers or providers utilized in any aspect of the operation of the Contest; (e) inaccessibility or unavailability of the Internet or the Website or any combination thereof or for computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of Submissions, or registrations, the announcement of the Prize, or in any other Contest-related materials; or (f) any injury or damage to Entrants or to any other person’s computer which may be related to or resulting from any attempt to participate in the Contest. If, for any reason, the Contest (or any part thereof) is not capable of running as planned for reasons which may include, without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, then the Contest Parties reserve the right at their sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part.
RELEASES
All Entrants, as a condition of participation in this Contest, (a) release, discharge, indemnify and hold harmless the Contest Parties and each of their respective directors, officers, employees, agents, successors and assigns (collectively, “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Contest (including travel to/from any Contest activity), (ii) the receipt, ownership, use or misuse of the Prize awarded, including any travel associated with any Prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) Entrant’s registration material on any related website, or (v) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or Prize; (b) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Contest, or any Prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs.
GOVERNING LAW AND LIMITATION OF LIABILITY
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Sponsor or the Released Parties in connection with the Contest will be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.
BY PARTICIPATING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES; AS A RESULT, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU, AND THE FOREGOING PARAGRAPHS SHALL NOT APPLY TO A RESIDENT OF NEW JERSEY TO THE EXTENT DAMAGES TO SUCH NEW JERSEY RESIDENT ARE THE RESULT OF SPONSOR OR CONTEST PARTIES’ NEGLIGENT, FRAUDULENT OR RECKLESS ACT(S) OR INTENTIONAL MISCONDUCT.
DISPUTE RESOLUTION
The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Texas, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Contest shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Texas. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Texas. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of Entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. This Contest is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS GIVEAWAY IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.
REGISTRATION INFORMATION AND CONTEST COMMUNICATIONS
As a condition of participating in the Contest, each Entrant gives consent for Sponsor to obtain and deliver his or her name, address, and other information to third parties for the purpose of administering this Contest and to comply with applicable laws, regulations, and rules. Any information an Entrant provides to Sponsor may be used to communicate with Entrant in relation to this Contest or on a Contest Winner’s list. By participating in the Contest, each Entrant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at https://contact.pepsico.com/fritolay/privacy-policy. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern.
MISCELLANEOUS
Winner is solely responsible for taxes on the Prize, if any. The ARV of the Prize is based on available information provided to Sponsor. The invalidity or unenforceability of any provision of these Official Rules or the Declaration will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Declaration is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
